AkzoNobel seeks to fill a corporate paralegal position to join its North American legal team in its Chicago, IL regional headquarters.  The primary function of the corporate paralegal is to support the North American legal team on a variety of corporate governance, strategic and transactional matters, including mergers and acquisitions. In addition, the corporate paralegal will handle a variety of additional matters as needs arise with respect to litigation, employment law, environmental matters and commercial legal affairs.

- Assist with all corporate secretarial requirements, including coordination and preparation of materials for meetings of Boards of Directors, and drafting corporate resolutions, meeting minutes, secretary certificates and other corporate documents.
- Assist with corporate transactions including due diligence and the organization, preparation, review and execution of deal documents in connection with mergers and acquisitions and other corporate initiatives.
- Assist with legal drafting, including agreements and amendments to agreements, position statements to various government agencies, and internal memoranda, among others.  Also, assist with legal analysis of agreement terms and conditions.
- Assist with formation, merger and dissolution of legal entities, and maintain legal entity organizational charts and lists of officers and directors.
- Maintain all necessary state filings.
- Respond to inquiries from colleagues across the organization regarding corporate information.
- Keep complete and up-to-date information in the matter management system.
- Upload original contracts and agreements to contract registration database.  
- Assist other members of the North American legal team with various other projects as needed.

Job requirements/Candidate profile

- Minimum five (5) years paralegal experience at a major law firm or a multi-national corporation.
- Bachelor’s Degree and Paralegal certificate required.
- Excellent written and verbal communication and interpersonal skills.
- Results-driven, customer-focused with an ability to perform in a performance  driven culture. 
- Excellent analytical and problem solving skills.
- Must be highly proficient in 2010 MS Word, Excel, Power Point, Westlaw, Datacert or other Matter management systems, a plus, and ability to learn and adapt to other database formats.
