An exciting and challenging opportunity has arisen in our office in Dubai, UAE for a Paralegal / Company Secretary.


The successful candidate will be responsible for providing legal and commercial support and corporate secretarial services to the group entities in the region that is managed by the Middle East Management Team which currently consists of approximately 15+ entities. Given the complexity of the legal and regulatory environment, the job holder would have to be up-to date with the changes in local laws of all these entities which are located at different geographical locations and would need to amend the licenses/documents accordingly. This role would have direct interaction with all shareholders and board members, and potentially the regulatory bodies.

Main tasks and responsibilities:

• Work closely with the Senior Legal Counsel on M&As projects and transactions, including project management, advising and providing support required to different projects in different countries
• To review, negotiate and advise on contractual arrangements, including commercial agreements, NDAs, co-operation, distribution & supply, finance & loan agreements, services agreements, consultancy agreements.
• To provide support to the Senior Legal Counsel on ad hoc matters and all projects (e.g. litigation, due diligence, regulatory investigations)
• Conduct legal research and provide information for the Legal function in the Middle East region.
• Liaise with outside counsel to provide information, obtain advice, co-ordinate billing & update files.
• To ensure all systems are implemented and used within the local team – including matter management, contract management, legal entity management and the use of standard AkzoNobel formats.
• Prepare regular reports for the functions (e.g. legal spend, completed training, quarterly reporting)
• To act as a first line response to enquiries directed to the Senior Legal Counsel ME– to resolve simple enquiries and refer other matters for advice from the Senior Legal Counsel ME
• To prepare and submit administrative documents to local authorities, including statutory documents, powers of attorney, notarisations etc. To help review and develop systems that ensure that the company complies with all applicable legal and statutory requirements as well as the AN corporate requirements. Liaise with shareholders entity for POA, Resolutions etc.
• To administer and manage claims and ensure timely resolution
• Renew, update & maintain the trade licenses and other government certificates of the ME Entity
• To prepare the paper work/documentation for incorporation of Companies/ Entities and Branches and to liaison with relevant government agencies, corporate offices and PRO’s etc for this matter.  Advising on safe keeping of Company records of operational and historical value.
• To prepare papers for and attend Board meetings, AGMs and EGMs including drafting of notices, agenda, resolutions and minutes, etc. Ensuring that Board Meeting etc. has been properly convened and minutes of such meeting have been circulated on time.
• Managing relationship with shareholders, Board members and outsourced Registrar department.
• To liaise with IP Counsels and outside Counsel for maintaining updated record of Company trademarks, product registrations, agency registrations etc.
• Assist the senior legal counsel with the preparation of the Annual Budget Review for the Legal & Company Secretarial Departments of the ME and keep track of the actual expenses incurred against budget
• Training the sales team on AkzoNobel standard clauses etc.
• Administrative Support: Assist the Senior Legal Counsel with the administrative support required (e.g. Calendars, Travel etc.)
• Be familiar with all the applicable corporate as well as site policies/procedures with regard to personal conduct and HSE standards and acting in compliance with all applicable regulations.

Job requirements/Candidate profile

The ideal candidate will have a Bachelor’s Degree in Law with minimum 3  years’ experience in a similar role. Proficient in MS Office and systems is a must with excellent computing, secretarial, interpersonal and team working skills. The successful candidate will be ambitious and motivated to succeed on his/her own and have experience working in a multicultural, multi-site and matrix organization structure. Fluency in written and spoken English is essential, Arabic is a plus.
